1. About the Platform

The Platform is an online marketplace that enables independent sellers ("Sellers") to offer products for sale to registered users of the Platform ("Buyers").

The Company acts solely as a technology and marketplace intermediary that facilitates product listings, communication, order management, payment collection, promotional campaigns, and other marketplace-related services.

The Company is not the manufacturer, owner, distributor, reseller, or seller of the products listed on the Platform unless expressly stated otherwise.

2. Eligibility

Users must:

• be at least eighteen (18) years of age;
• be legally competent to enter into contracts under applicable Indian law; and
• provide true, accurate, and complete information during registration.

The Company reserves the right to suspend or terminate accounts created using false or misleading information.

3. User Accounts

Registration may be required to use certain features of the Platform.

Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their accounts.

The Company may suspend, restrict, or terminate any account that violates these Terms or applicable law.

4. Marketplace Role

The Company merely facilitates transactions between Buyers and Sellers.

The contract for sale of any product is solely between the Buyer and the Seller.

The Company does not guarantee the quality, authenticity, legality, safety, suitability, availability, or merchantability of any product listed by Sellers.

5. Orders, Payments and Delivery

Orders placed through the Platform are subject to acceptance by the respective Seller.

Payment is collected by the Company or its authorized payment partners solely as a payment facilitator on behalf of Sellers.

Product delivery shall be carried out by independent third-party logistics providers engaged by the Seller or through logistics arrangements facilitated by the Platform.

Delivery timelines are estimates only and may vary depending upon courier operations and other circumstances beyond the Company's control.

6. Seller Obligations

Each Seller represents and warrants that:

• it has the legal right to sell all listed products;
• all products comply with applicable Indian laws and regulatory requirements;
• product descriptions, specifications, pricing, warranties, and images are accurate and not misleading;
• products do not infringe any intellectual property or third-party rights;
• all applicable taxes, registrations, licenses, and statutory compliances are maintained;
• orders will be fulfilled in a timely manner;
• returns, refunds, warranties, and customer grievances relating to products shall be handled in accordance with applicable law and Platform policies.

Sellers shall indemnify the Company against claims arising from defective products, inaccurate listings, regulatory violations, intellectual property infringement, or breach of applicable law.

7. Buyer Obligations

Buyers agree to:

• provide accurate delivery and payment information;
• use the Platform only for lawful purposes;
• make genuine purchase transactions;
• not misuse return or refund policies;
• comply with these Terms and applicable laws.

8. Returns, Refunds and Cancellations

Returns, refunds, exchange and cancellations shall be governed by the Platform's Return and Refund Policy, as published and updated from time to time.

Unless otherwise stated:

• cancellation requests may be accepted before dispatch of an order;
• return eligibility depends upon the product category and applicable policy;
• refunds shall be processed after verification and approval in accordance with the applicable policy;
• promotional discounts, coupons, and offers may not be reinstated following cancellation or return unless specifically provided.

The Company may assist in facilitating the return and refund process but is not responsible for the underlying contractual obligations of the Seller.

9. Promotions

The Company and/or Sellers may offer promotional campaigns, coupons, discounts, or other benefits.

Such promotions are subject to separate terms and may be withdrawn, modified, or discontinued by the Company at its sole discretion without prior notice.

10. User Conduct

Users shall not:

• violate any applicable law;
• upload false, defamatory, obscene, fraudulent, or misleading content;
• infringe intellectual property rights;
• attempt unauthorized access to the Platform;
• interfere with Platform operations;
• upload malware or harmful software;
• impersonate another person;
• engage in fraudulent or abusive transactions.

The Company reserves the right to remove any content or suspend any account that violates these Terms.

11. Intellectual Property

All software, trademarks, logos, graphics, content, and other intellectual property relating to the Platform belong to the Company or its licensors.

No part of the Platform may be copied, reproduced, modified, distributed, or commercially exploited without prior written permission.

12. Privacy and Data Protection

The Company processes personal data in accordance with its Privacy Policy, applicable laws, and the Digital Personal Data Protection Act, 2023, as amended from time to time.

By using the Platform, Users consent to the collection, storage, processing, and sharing of personal information as reasonably necessary for providing marketplace services, payment processing, customer support, fraud prevention, legal compliance, and other legitimate business purposes.

Users may exercise their rights in accordance with applicable data protection laws and the Company's Privacy Policy.

13. Compliance with Consumer Protection Laws

The Platform shall endeavour to comply with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, as amended.

Nothing contained in these Terms limits any statutory rights available to consumers under applicable law.

14. Disclaimer

The Platform is provided on an "as is" and "as available" basis.

The Company makes no warranty regarding uninterrupted availability of the Platform or that it will be error-free or free from viruses.

The Company shall not be responsible for acts, omissions, representations, warranties, product quality, delivery failures, or other conduct of Sellers or third-party service providers.

15. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from the use of the Platform or transactions between Buyers and Sellers.

The Company's role is limited to facilitating transactions and related marketplace services.

16. Indemnity

Users agree to indemnify and hold harmless the Company, its affiliates, directors, officers, employees, and agents against all claims, liabilities, damages, penalties, costs, and expenses arising from:

• breach of these Terms;
• violation of applicable law;
• infringement of third-party rights;
• misuse of the Platform; or
• disputes arising from products sold through the Platform.

17. Suspension and Termination

The Company may suspend or terminate any account or restrict access to the Platform without prior notice where it reasonably believes that these Terms or applicable law have been violated.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

The parties shall endeavour to resolve disputes amicably through mutual discussions.

If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts at Hyderabad, Telangana, India.

19. Amendments

The Company may amend these Terms from time to time by publishing an updated version on the Platform.

Continued use of the Platform after such publication constitutes acceptance of the revised Terms.
